Changes to these Terms will not retroactively modify the material price, cancellation terms, refund rights, or other purchase terms applicable to a transaction completed before the changes became effective, except as required by law or with your express agreement.
Accessing the Website and Account Security
We reserve the right to withdraw or amend this Website, and any service or material we provide on the Website, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Website, or the entire Website, to users, including registered users.
You are responsible for both:
- Making all arrangements necessary for you to have access to the Website.

If you choose, or are provided with, a user name, password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to this Website or portions of it using your user name, password, or other security information. You agree to notify us immediately of any unauthorized access to or use of your user name or password or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. Any User Contribution you post to the site will be considered non-confidential and non-proprietary. By providing any User Contribution on the Website, you grant us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose.

Monitoring and Enforcement; Termination
The Company reserves the right to remove any content that it determines, in its sole discretion, is inconsistent with the community standards or intended use of the platform.
We have the right to:
- Remove or refuse to post any User Contributions for any or no reason in our sole discretion.
- Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Terms of Use, including the Content Standards, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Website or the public, or could create liability for the Company.

- Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Website.

Without limiting the foregoing, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Website. YOU WAIVE AND HOLD HARMLESS THE COMPANY AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY THE COMPANY DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.
However, we do not undertake to review all material before it is posted on the Website, and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.
Content Standards
These content standards apply to any and all User Contributions and use of Interactive Services. User Contributions must in their entirety comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, User Contributions must not:
- Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
- Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
- Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person.
- Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms of Use and our Privacy Policy, located at https://theuniteapp.com/privacy-policy/.
- Be likely to deceive any person.
- Promote any illegal activity, or advocate, promote, or assist any unlawful act.

- Impersonate any person, or misrepresent your identity or affiliation with any person or organization.
- Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising.
- Give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.
User Contributions must not contain pornographic content, explicit sexual acts, or full nudity including visible genitalia. Content intended to solicit sexual services or sexual encounters in an explicit or commercial manner is also prohibited.
User Interactions and Assumption of Risk
The Website and affiliated mobile application (collectively, the “Platform”) may facilitate introductions, messaging, Events, and other interactions between users, including interactions that occur outside the Platform.
The Company does not verify the identity, background, intentions, or conduct of users and does not conduct identity verification, criminal background checks, or other screenings unless expressly stated otherwise. The Company does not guarantee the accuracy of user profiles or represent that any user is who they claim to be.
You acknowledge that interacting with other users, whether online or offline, involves inherent risks, including misrepresentation, harassment, fraud, unwanted conduct, personal injury, or other loss or harm. The Company does not control, endorse, or assume responsibility for the identity, intentions, or conduct of any user.
You are solely responsible for your interactions with other users and for exercising appropriate judgment, caution, and safety when communicating with or meeting individuals through the Platform.
To the fullest extent permitted by applicable law, the Company shall not be responsible for any loss, injury, harm, or damages arising out of or related to interactions between users, whether those interactions occur on or off the Platform. Nothing in this section limits any liability that cannot lawfully be excluded or limited.
No Guarantee of Matches or Personal Outcomes
The Platform is intended to facilitate introductions, conversations, and social opportunities between users. The Company does not guarantee that any user will achieve friendships, relationships, romantic partnerships, professional connections, business opportunities, event experiences, or any other personal outcome through use of the Platform.
The Company makes no representations regarding the compatibility, character, identity, intentions, or conduct of any user, or the likelihood of any particular outcome arising from use of the Platform.
To the fullest extent permitted by law, the Company shall not be responsible for any emotional distress, personal disputes, relationship outcomes, financial loss, or other consequences arising from interactions between users or from use of the Platform.
Membership Eligibility; Admission; Community Conduct
Participation in a Unitē Season Membership, Home Circle, Event, or other community program is subject to eligibility requirements and approval by the Company. Submission of an application, payment, reservation, or expression of interest does not guarantee acceptance, placement, continued membership, or participation in any particular program or Event.
Approval, admission, or Home Circle placement reflects only the Company’s determination regarding program eligibility, scheduling, and community operations. It does not constitute a background check, identity verification, safety certification, or endorsement of any participant.
If the Company accepts payment for participation and subsequently declines the applicant before that participation begins, the Company will refund the amount paid for the declined participation. Purchases of separate Event tickets remain subject to the Event Ticket Purchase Terms below.
To the fullest extent permitted by applicable law, the Company reserves the right to decline, suspend, revoke, or terminate participation in a Season Membership, Home Circle, Event, or other Company program, or to require a participant to leave an Event, when the Company reasonably and in good faith determines that doing so is appropriate to protect the safety, integrity, operations, or intended community experience of the program.
Grounds for such action may include, without limitation:
Threatening, aggressive, violent, discriminatory, harassing, or materially disruptive conduct;
Unwanted sexual conduct or repeated disregard of another participant’s stated interpersonal or physical boundaries;
Intoxication or substance-related conduct that creates a safety risk or materially disrupts an Event;
Conduct that materially interferes with another participant’s ability to participate;
Failure to follow reasonable safety instructions, venue requirements, or Event rules;
Material misrepresentation during an application, reservation, or purchase process;
Misuse of member information, group chats, photographs, or other community resources; or
Other conduct reasonably determined by the Company to create a material safety, operational, or community concern.
When immediate action is reasonably necessary, the Company may remove or suspend a participant without prior notice. A participant who is removed, suspended, or terminated for a material violation of these Terms may be ineligible for a refund, to the extent permitted by applicable law and the applicable purchase or refund terms.
Admission to an Event may also be subject to age restrictions, identification requirements, security procedures, accessibility and accommodation procedures, dress requirements, bag policies, codes of conduct, and other rules established by the venue, producer, or ticket issuer.
All eligibility, admission, placement, suspension, and termination decisions will be made in accordance with applicable law. The Company will not make such decisions based on any characteristic protected by applicable law.
Copyright Infringement
If you believe that any User Contributions violate your copyright, please contact us. It is the policy of the Company to terminate the user accounts of repeat infringers.
Reliance on Information Posted
The information presented on or through the Website is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Website, or by anyone who may be informed of any of its contents.
This Website may include content provided by third parties, including materials provided by other users, bloggers, and third-party licensors, syndicators, aggregators, and/or reporting services. All statements and/or opinions expressed in these materials, and all articles and responses to questions and other content, other than the content provided by the Company, are solely the opinions and the responsibility of the person or entity providing those materials. These materials do not necessarily reflect the opinion of the Company. We are not responsible, or liable to you or any third party, for the content or accuracy of any materials provided by any third parties.
Events, Hosts, and Third-Party Offerings
From time to time, the Website and any related mobile applications (collectively, the “Platform”) may display, list, or otherwise facilitate access to events, gatherings, activities, or experiences (collectively, “Events”) that may be organized, hosted, or operated by third parties, including other users of the Platform (each, a “Host”). Events may include both Events originally created by the Company and Events created or managed entirely by Hosts or other third parties.
You acknowledge and agree that, unless we expressly state in writing that a particular Event is organized by the Company, all information related to an Event – including, without limitation, descriptions, dates, times, locations, pricing, capacity, restrictions, suitability, and availability – is provided solely by the applicable Host or third party and not by the Company. Hosts are solely responsible for (i) the accuracy, completeness, and legality of all information they provide about any Event; (ii) obtaining and maintaining any and all permits, licenses, consents, insurance, and other authorizations required to offer, promote, or conduct any Event; and (iii) the safety, quality, and conduct of the Event itself, including any venue, activities, and personnel involved.
The Company does not and is under no obligation to screen, pre-approve, monitor, or supervise Hosts, attendees, venues, or Events, and does not conduct background checks, safety inspections, or other due diligence with respect to any Host, attendee, venue, or Event. The inclusion of any Event on or through the Platform does not constitute an endorsement, recommendation, or guarantee by the Company of such Event, Host, or any related person, product, or service.
To the fullest extent permitted by law, the Company makes no representation, warranty, or guarantee of any kind, express or implied, regarding any Event or any information provided by a Host or other third party, including, without limitation, any representation or warranty as to accuracy, completeness, timeliness, availability, legality, safety, suitability, or quality. Any reliance you place on Event information, whether provided on the Platform or via linked third-party sites, is strictly at your own risk.
Your decision to attend, participate in, or engage with any Event is entirely voluntary and made at your own discretion. You understand that participation in Events may involve inherent and unforeseeable risks, including, without limitation, the risk of personal injury, illness, property damage, or other loss or harm. By choosing to attend or participate in any Event, you acknowledge and agree that you assume all such risks associated with that Event, whether known or unknown, foreseeable or unforeseeable, arising out of or in any way related to the Event, the Host, other attendees, or the venue.
To the fullest extent permitted by law, you agree that the Company shall not be liable for, and you hereby release and hold harmless the Company and its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, successors, and assigns from and against, any and all claims, demands, causes of action, damages, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to: (i) any Event that is not directly organized by the Company; (ii) any act or omission of any Host, venue, service provider, or other attendee; (iii) any inaccuracy, incompleteness, or misrepresentation in Event information provided by a Host or other third party; or (iv) your attendance at, participation in, or decision to travel to or from any Event.
Nothing in this section is intended to, nor shall it, limit any liability of the Company that cannot be limited under applicable law, including liability (if any) arising from the Company’s own gross negligence or willful misconduct.
Changes to the Website
We may update the content on this Website from time to time, but its content is not necessarily complete or up-to-date. Any of the material on the Website may be out of date at any given time, and we are under no obligation to update such material.
Information About You and Your Visits to the Website
All information we collect on this Website is subject to our Privacy Policy, available at https://theuniteapp.com/privacy-policy/. By using the Website, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy.
Online Purchases; Unitē Circles; Season Memberships; Reservations; Refunds
Any purchase or transaction for goods, services, memberships, Event access, or information made through or in connection with the Website, affiliated mobile application, any Unitē signup form, or any payment or checkout page made available or authorized by the Company is governed by these Terms of Use and any additional terms disclosed at the time of purchase.
By purchasing access to a Unitē Circle, Unitē season, or other seasonal Unitē program (collectively, a “Season Membership”), you receive Home Circle placement, season planning and coordination, and the opportunity to reserve available Events offered during the applicable season.
Event reservations are subject to capacity, availability, reservation deadlines, venue requirements, and any additional conditions disclosed for the Event. A Season Membership does not guarantee admission to any particular Event or to all Events.
The Season Membership fee does not include individual Event costs—including tickets, admission, food, beverages, transportation, lodging, or third-party charges—unless expressly stated otherwise. These costs may be subject to separate cancellation and refund policies.
We use the availability and other information submitted during signup to create Home Circles. If we cannot place you in a Home Circle that works with at least one of the availability options you selected at signup, we will refund your Season Membership fee in full. Changes to your availability after purchase do not qualify for a refund under this placement policy.
Once your Home Circle has been confirmed by email, the Season Membership fee is non-refundable, except where otherwise stated at purchase or required by law. Failure to reserve or attend an Event, changes to your schedule, dissatisfaction with your Circle, or failure to achieve a particular social or personal outcome does not create a right to a refund. When possible, we may offer a future-season accommodation at our sole discretion.
If we cancel the entire season before it begins, we will refund the Season Membership fee. If we collect a separate Event fee and cancel that Event without offering a replacement, we will refund that Event fee. Payments made directly to venues or third parties remain subject to their respective policies.
Additional terms and conditions may apply to particular purchases, Events, services, programs, or features offered through the Website or affiliated mobile application. Those additional terms are incorporated into these Terms of Use by reference. If additional terms conflict with these Terms of Use, the more specific terms will control solely with respect to the applicable purchase, Event, service, program, or feature.
Event Ticket Purchase Terms
These Event Ticket Purchase Terms apply whenever the Company sells, allocates, or arranges admission tickets for a concert, performance, sporting event, cultural program, or other live Event. They supplement the remainder of these Terms of Use. Additional Event-specific terms presented before purchase are incorporated into these Terms. If Event-specific terms conflict with this section, the Event-specific terms will control to the extent permitted by applicable law.
Expressions of Interest Are Not Ticket Purchases
Selecting “Going,” joining an interest list, responding to an invitation, or otherwise expressing interest in an Event does not constitute a ticket purchase, require payment, reserve a ticket, guarantee admission, or obligate the Company to obtain a ticket for that person.
A ticket purchase is completed only after the purchaser has been shown the applicable Event details, seating information, total price, and purchase terms; submits payment; and receives written confirmation from the Company.
Ticket Availability and Right to Provide Tickets
The Company will not accept final payment for an Event ticket unless the Company possesses the ticket or has a written contractual right to obtain the ticket being offered.
Ticket availability may be limited. Placing an item in a cart, beginning checkout, receiving an invitation, or joining an interest list does not guarantee availability.
If the Company accepts payment but cannot provide the ticket described in the written confirmation, the Company will provide a full refund of the amount paid to the Company for that ticket, without limiting any additional rights available under applicable law.
Total Price
Before the purchaser agrees to pay, the Company will clearly and conspicuously display the total price the purchaser must pay, including all mandatory Company service, coordination, processing, or other charges.
Government-imposed taxes, shipping charges, or optional items may be excluded from the initially displayed total only when permitted by applicable law. Any permitted excluded charge will be disclosed before the purchaser enters payment information or agrees to pay.
The amount charged by the Company may differ from the ticket’s face value or the amount the Company paid to obtain it. If the Company imposes a service or coordination charge in addition to the underlying ticket price, that charge will be disclosed as required by applicable law and included in the displayed total price.
Any price communicated before tickets are offered for sale, including an estimated price or price range on an invitation or interest page, is an estimate only and does not constitute an offer to sell at that price.
Seat Location and Group Seating
Before purchase, the Company will disclose the seat location by section, row, clearly identified seating area, description, or map, as applicable.
When exact seat numbers have not yet been assigned, the Company may assign seats within the disclosed seating area. The Company will use commercially reasonable efforts to place Unitē attendees together, but adjacent seats or placement within one uninterrupted block are guaranteed only when expressly stated in the written purchase confirmation.
The Company will not materially relocate a purchaser outside the seating area disclosed at the time of purchase without the purchaser’s consent or the opportunity to receive a full refund.
Ticket Delivery
Tickets may be delivered electronically, through a venue or ticketing application, by email, or through another method identified before purchase. The purchaser is responsible for providing accurate contact information, maintaining access to any required account or mobile device, and following delivery and venue-entry instructions.
The purchaser must notify the Company promptly if a confirmed ticket has not been received by the stated delivery time.
Except where required by law, the Company is not responsible for a purchaser’s inability to access a properly delivered ticket because of inaccurate information supplied by the purchaser, loss of account access, failure to download or accept a ticket, device failure, or failure to follow delivery instructions.
Purchaser Cancellations
Unless otherwise stated during checkout or required by applicable law, ticket purchases are final and nonrefundable when the purchaser can no longer attend, arrives late, misses the Event, is denied admission for failure to satisfy venue requirements, or is removed for violating applicable conduct or safety rules.
A purchaser should contact the Company promptly if unable to attend. The Company may, but is not obligated to, assist with a permitted transfer to another eligible attendee.
Canceled, Postponed, Rescheduled, or Replaced Events
If an Event is canceled and not rescheduled, the Company will provide a full refund of the ticket price paid to the Company within 30 calendar days of the cancellation, as required by applicable law.
If an Event is postponed, rescheduled, or replaced with another Event at the same date and time, the Company will provide a full refund upon the purchaser’s request within 30 calendar days after receiving that request, as required by applicable law.
Changes to performers, supporting acts, programs, start times, entry procedures, or other Event details will be handled in accordance with the venue or producer’s policies and applicable law. Nothing in these Terms limits a refund or other remedy required by law.
The Company is not responsible for separately purchased travel, parking, lodging, meals, clothing, or other incidental expenses, except to the extent applicable law expressly provides otherwise.
Transfers and Resale
Any transfer or resale must comply with applicable law and with the rules of the venue, ticket issuer, Event producer, and any applicable group-sales agreement.
The Company may require the name and contact information of a permitted transferee for ticket delivery, safety, eligibility, and community-coordination purposes. The Company does not guarantee that a ticket will be transferable or that a purchaser will be able to recover the purchase price through resale.
Tickets may not be altered, duplicated, counterfeited, sold through deceptive means, or transferred in a manner that circumvents ticket-purchase limits or access controls.
Venue Admission and Conduct
Possession of a ticket does not eliminate venue or Event admission requirements. Entry remains subject to applicable age restrictions, identification requirements, security screening, bag policies, accessibility procedures, health and safety requirements, codes of conduct, and other venue or producer rules.
A person denied admission or removed because of that person’s conduct, failure to satisfy an announced requirement, or violation of venue, Event, or Company rules will not be entitled to a refund except where required by law.
Participation in a Unitē group experience is also subject to the Membership Eligibility; Admission; Community Conduct section of these Terms.
Third-Party Event Control
Unless expressly stated otherwise, the Company does not own, operate, produce, or control the underlying performance, venue, artist, team, or third-party ticketing system. References to an artist, venue, producer, or ticket issuer do not imply sponsorship, endorsement, partnership, or affiliation.
The venue, producer, artist, or ticket issuer may control scheduling, programming, ticket delivery, security, admission, and seating operations. The Company remains responsible for its own obligations as a ticket seller and for any rights that cannot lawfully be waived.
Order Review and Cancellation
The Company may cancel an order involving suspected fraud, unauthorized payment, ticketing-system abuse, material pricing or inventory error, violation of purchase limits, or violation of these Terms.
If the Company cancels an order for reasons not caused by the purchaser’s fraud or material breach, the Company will refund the amount paid for the canceled order.
Event-Specific Disclosures
Before payment, the applicable purchase page or checkout will identify, as available:
-
The Event, date, time, and venue;
-
The ticket quantity;
-
The section, row, or clearly identified seating area;
-
The total price;
-
Any applicable age or admission requirements;
-
The expected ticket-delivery method and timing;
-

Any transfer restrictions; and
